Terms of Service

These terms govern access to and use of SevAudit. By creating an account or using the Service, you agree to them.

Effective: November 2, 2026

1. Agreement and authority

SevAudit is a product of Client Care Nest, LLC (“Client Care Nest,” “we,” “us,” or “our”). These Terms of Service (“Terms”) are an agreement between you and Client Care Nest concerning sevaudit.com and the SevAudit workspace (the “Service”). If you use the Service for an organization, you represent that you have authority to accept these Terms for that organization, and “you” includes that organization. You must be at least 18 years old and legally able to enter this agreement.

2. Accounts and access

You must provide accurate account information, protect your credentials, and promptly report suspected unauthorized access. Accounts are personal and may not be shared. Workspace owners and authorized managers control membership, roles, permissions, project access, and invitations. You are responsible for actions taken through your account and for ensuring that permissions match your organization’s requirements.

3. Acceptable use

You may use the Service only lawfully and for legitimate professional purposes. You may not:

  • Access accounts, workspaces, projects, or data without authorization.
  • Probe, disrupt, overload, reverse engineer, or bypass security or usage controls, except where law expressly permits.
  • Upload malware or content that is unlawful, infringing, deceptive, abusive, or harmful.
  • Use the Service to violate privacy, confidentiality, employment, records-management, or other legal obligations.
  • Resell, sublicense, or provide the Service as a service bureau without written permission.

4. Customer content and responsibilities

You retain ownership of the data, files, messages, findings, reports, and other content you submit to the Service (“Customer Content”). You grant Client Care Nest a limited, nonexclusive license to host, process, copy, transmit, and display Customer Content only as needed to provide, secure, support, and comply with law concerning the Service.

You are responsible for the legality, accuracy, quality, and retention of Customer Content; obtaining required permissions and notices; choosing appropriate access settings; and maintaining independent copies of records your organization must preserve. Do not upload Social Security numbers, payment-card credentials, protected health information, classified information, or other specially regulated data unless Client Care Nest has expressly agreed in writing to support that data and your organization has completed its own risk and compliance review.

5. Audit and professional decisions

SevAudit is a workflow and documentation tool. It does not provide legal, accounting, cybersecurity, records-management, or professional audit advice; certify compliance; replace professional judgment; or guarantee that an audit will identify every issue. You remain responsible for audit scope, methodology, evidence sufficiency, conclusions, reporting, and compliance with applicable standards and law.

6. Third-party services

The Service relies on third-party infrastructure and may connect to or link to third-party services, including Google Firebase, Google Cloud, Microsoft authentication, Twilio SendGrid, and external document providers selected by users. Your use of third-party services is subject to their terms. Client Care Nest is not responsible for content or services controlled by third parties.

7. Plans, limits, and future paid services

The current Free plan and proposed team plans may have member, project, storage, or feature limits. Features and limits may change as the Service develops. Paid checkout is not currently available. If paid services are introduced, the displayed order, pricing, renewal, cancellation, and payment terms will supplement these Terms; we will not charge you without your authorization.

8. Service changes and availability

We may improve, add, remove, suspend, or discontinue features. We aim to operate the Service reliably but do not guarantee uninterrupted or error-free availability. Preview, beta, or free features may change materially. Where reasonably practical, we will provide notice of changes that materially reduce an active paid service.

9. Service property and feedback

The Service, its software, design, branding, documentation, and related intellectual property belong to Client Care Nest or its licensors. These Terms do not transfer that ownership. If you submit ideas or feedback, you allow Client Care Nest to use them without restriction or compensation, but we will not identify you publicly as the source without permission.

10. Suspension and termination

You may stop using the Service at any time. We may restrict or suspend access when reasonably necessary to address a security risk, unlawful use, violation of these Terms, nonpayment of future paid fees, or harm to the Service or others. Workspace owners may remove members and delete workspace content. Upon termination, your right to use the Service ends; provisions that by their nature should survive will survive.

11. Disclaimers

To the maximum extent permitted by law, the Service is provided “as is” and “as available.” Client Care Nest disclaims implied warranties, including merchantability, fitness for a particular purpose, noninfringement, and any warranty arising from course of dealing. These disclaimers do not limit rights that cannot lawfully be waived.

12. Limitation of liability

To the maximum extent permitted by law, Client Care Nest will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, goodwill, or data, arising from the Service. Client Care Nest’s aggregate liability arising out of the Service will not exceed the amount you paid to Client Care Nest for the Service during the 12 months before the event giving rise to the claim or, if you paid nothing, US $100. This section does not limit liability that cannot lawfully be limited.

13. Indemnification

To the extent permitted by law, an organization using the Service will defend and indemnify Client Care Nest from third-party claims arising from that organization’s Customer Content, unlawful use, or material violation of these Terms, except to the extent caused by Client Care Nest’s own breach, negligence, or willful misconduct.

14. Governing law and disputes

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. Subject to any law that provides otherwise, state and federal courts located in Los Angeles County, California will have exclusive jurisdiction. Before filing a claim, each party agrees to make a good-faith effort to resolve the dispute informally for at least 30 days.

15. Changes and general terms

We may update these Terms as the Service changes. Material changes will apply prospectively after reasonable notice. If a provision is unenforceable, the remaining provisions remain effective. A failure to enforce a provision is not a waiver. You may not assign these Terms without consent; Client Care Nest may assign them in connection with a reorganization, financing, merger, or sale of the Service.
